3. Exempt Reporting Adviser Status
Alpenglow Private Capital LLC is not registered as an investment adviser with the U.S. Securities and Exchange Commission ("SEC") under the Investment Advisers Act of 1940, as amended (the "Advisers Act"). Alpenglow Private Capital LLC has applied for registration as a Registered Investment Adviser with the State of Nevada. The application is currently pending approval. The Firm’s Form ADV is available at www.adviserinfo.sec.gov (CRD No. 342824).

4. Unregistered Securities
The interests (the "Interests") in Alpenglow Total Return, LP (the "Partnership") have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), the Investment Company Act of 1940, as amended (the "Investment Company Act"), or the securities laws of any state or other jurisdiction. The Partnership is offered in reliance upon exemptions from registration under applicable federal and state securities laws. The Interests may not be offered, sold, transferred, or otherwise disposed of except in compliance with the requirements of applicable federal and state securities laws.

5. Qualified and Eligible Investors Only
The securities and investment advisory services described or referenced herein, if any, are available only to a limited number of sophisticated investors who meet certain eligibility requirements, including qualification as "accredited investors" as defined under Rule 501(a) of Regulation D promulgated under the Securities Act of 1933 and/or "qualified clients" as defined under Rule 205-3 of the Advisers Act. This website may not be relied upon by any person who does not meet such eligibility requirements.

6. Risk of Loss
An investment in the Partnership involves a high degree of risk, including the risk of loss of the entire amount invested. The Partnership's investment program is speculative in nature and employs strategies that may include, without limitation, investments in public and private markets, alternative assets, and other instruments that may be illiquid or subject to significant valuation uncertainty. Neither the SEC nor any state securities commission or regulatory authority has approved or disapproved the Interests, passed upon the accuracy or adequacy of this website, or made any recommendation as to whether any person should invest in the Partnership. 12. CFTC Exemption
While the Partnership may trade commodity futures, options on futures, or financial futures, the General Partner is exempt from registration with the U.S. Commodity Futures Trading Commission ("CFTC") as a commodity pool operator ("CPO") pursuant to CFTC Regulation 4.13(a)(3). Therefore, unlike a registered CPO, the General Partner is not required to deliver a CFTC Disclosure Document to prospective investors.

13. Governing Law
This website is subject to the laws of the State of Nevada and applicable federal laws and regulations of the United States of America. Any disputes arising in connection with use of this website shall be resolved in accordance with applicable law.
